Corporate Documents & Post-Registration

Registration is the starting point, not the finish line. Here’s what happens next — documents, activations, tax registration, bank account and your ongoing compliance calendar.

What Happens After You’re Registered

A registration certificate and a NIPT make your company legally exist — they don’t make it operationally ready. Before you can invoice a client, pay a supplier, or put someone on payroll, a handful of activations, registrations and documents need to be in place: a corporate seal, an electronic signature, your e-Albania portal profile, municipality registration, and — if you’re hiring — notifications to the Labour Inspectorate and Employment Service. Miss one, and the gap tends to surface at the worst possible moment: a bank asking for a document you don’t have, or a filing deadline you didn’t know existed.

This page sets out exactly what to expect in the weeks after registration, the documents you should end up holding, and the recurring compliance calendar that follows — plus our post-registration package below if you’d like all of it handled in one coordinated engagement.

COMPANY INCORPORATION

POST-REGISTRATION SETUP PACKAGE

450 EUR
fixed setup fee

PACKAGE OF POST-REGISTRATION SETUP INCLUDES:

  • Certified copies of the registration certificate, Articles of Association and NIPT
  • Corporate seal
  • Electronic signature and e-certificate issuance
  • e-Albania portal profile activation
  • Registration with the local municipality for local tax purposes
  • Labour Inspectorate notification and Employment Service registration, if hiring
  • Beneficial owner (UBO) registration confirmation
  • Bank account document preparation and submission
  • A compliance calendar covering your first 12 months of filing deadlines
Fixed fee for a standard Sh.p.k. with individual shareholders and a single registered activity. Bank charges, additional employee registrations beyond the first, and sector-specific licensing steps are quoted separately.

The First 30 Days After Registration

A typical sequence, once your registration certificate and NIPT are issued:

  • Corporate seal and electronic signature obtained — needed for signing contracts, invoices and official filings.
  • e-Albania portal profile activated — the government’s online services portal, used for tax filings, certificates and most official interactions.
  • Registration with the local municipality, for local (municipal) tax purposes.
  • If hiring: notification to the Labour Inspectorate and registration with the Employment Service, ahead of your first employment contract.
  • Beneficial owner (UBO) registration confirmed in the central register.
  • Bank account opened — usually the step requiring the administrator’s in-person presence.
  • VAT registration completed, if your turnover or activity requires or benefits from it.
  • First accounting engagement set up, so your bookkeeping and e-invoicing start correctly from day one rather than being reconstructed later.

Corporate Documents You Should End Up Holding

  • Registration certificate (extract from the Trade Register).
  • NIPT certificate — your tax identification number.
  • Stamped copy of the Articles of Association.
  • Confirmation of the beneficial owner (UBO) declaration.
  • Corporate seal.
  • Electronic signature / e-certificate for online filings.
  • Bank account opening confirmation and account details.

Keep digital and physical copies of all of the above — banks, landlords, licensing authorities and business partners will ask for one or more of these documents repeatedly over the life of the company.

Your Ongoing Compliance Calendar

Once operational, a standard Albanian company works to a recurring cycle of filings and payments. The following is a general guide — exact deadlines depend on your specific tax regime and should be confirmed with your accountant.

Obligation Frequency Notes
VAT return & payment (if VAT-registered) Monthly Filed via e-Albania; exact deadline set by the tax authority — verify current schedule
Corporate income tax prepayments Monthly or quarterly Depends on your tax regime and turnover — confirm with your accountant
Payroll, social & health contributions Monthly Applies to all employees and the administrator, if salaried
Annual financial statements Annual Filed after fiscal year-end within the statutory deadline
Annual corporate tax return Annual Reconciles prepayments against final tax liability for the year
Annual municipal tax Annual Payable to the local municipality where the company is registered
Beneficial owner (UBO) register update As needed Required within a statutory period after any change in ownership
Legal address renewal Annual Confirm continuity before your registered address expires

⚠ Fact-check note — for internal review

Exact filing deadlines, frequencies and thresholds change periodically and depend on each company’s specific tax regime. All deadlines and figures shown here must be verified by a qualified Albanian accountant or tax adviser before publication, and reconfirmed for each client’s specific situation.

How the Post-Registration Setup Works

01

Registration certificate & NIPT collected

02

Corporate seal & e-signature issued

03

e-Albania profile activated

04

Municipality, Labour Inspectorate & Employment Service registrations

05

Bank account documentation prepared

06

Compliance calendar delivered

Typical timeline: most activations (seal, e-signature, e-Albania, municipality registration) are completed within the first 1–2 weeks after registration. Bank account timing depends on the bank’s KYC process, and hiring-related registrations are completed ahead of your first employment contract.

What We Need From You

  • Your registration certificate and NIPT, once issued.
  • Confirmation of whether you plan to hire staff, and an approximate start date for the first employment contract.
  • Your preferred bank, if you already have one in mind.
  • Confirmation of your registered legal address, if not already arranged through us.
  • Any sector-specific licence or permit your activity may require, so we can flag additional registrations early.

Fee Schedule — Additional & Ongoing Services

⚠ Practical note

The most common post-registration problem isn’t any single missed step — it’s discovering a gap only when it blocks something else: a bank asking for a document that was never issued, or a first payroll run delayed because the Labour Inspectorate notification wasn’t filed. None of these are hard to fix in isolation, but they’re far cheaper to get right the first time than to untangle under time pressure. That’s the entire logic of bundling this into one coordinated package rather than handling each piece as it comes up.

Frequently Asked Questions

You should end up holding a registration certificate, NIPT certificate, a stamped copy of the Articles of Association, confirmation of your UBO declaration, a corporate seal, an electronic signature/e-certificate, and your bank account details. We provide a checklist and certified copies of each as part of the post-registration package.

e-Albania is the government’s online services portal, used for tax filings, obtaining certificates, and most official interactions with Albanian authorities. Every company needs an active profile — we handle this activation as part of the setup package.

A corporate seal is standard practice for Albanian companies and is commonly requested for contracts, bank formalities and certain official filings, even though its legal necessity has narrowed over time. We include it in the package so you’re not caught without one.

Consequences vary by obligation — late VAT or tax filings typically attract penalties and interest, while a lapsed legal address or UBO update can create broader compliance complications. Our compliance calendar and ongoing accounting service are designed specifically to prevent this.

Yes. QKB registration establishes your company nationally; municipal registration is a separate step required for local tax purposes in the municipality where your company is registered.

You’ll need to notify the Labour Inspectorate and register with the Employment Service before your first employee starts, in addition to setting up payroll and social/health contributions. We coordinate all of this as part of the package if hiring is confirmed at the outset.

We deliver a compliance calendar covering your first 12 months of filing obligations as part of the package, and our ongoing accounting and corporate governance services (priced separately) continue tracking and reminding you of deadlines after that.

Most of it, yes — document collection, seal and e-signature issuance, e-Albania activation and municipality registration can all be coordinated without your presence. Bank account opening is the main exception, generally requiring the administrator to appear in person at least once.
