Annual Report

Annual financial statements and the annual corporate income tax return – key annual compliance obligations for Albanian companies, subject to the filing requirements applicable to the company.

Annual Filing Obligations Depend on the Company’s Tax and Reporting Status

An annual report isn’t optional for companies above a certain size, and it isn’t waived because a company had a quiet year – Albanian companies must comply with the annual financial reporting and tax filing obligations applicable to their tax and accounting status. The precise filing requirements may depend on factors including turnover, tax responsibility and whether the company has suspended its activity. It’s the once-a-year deliverable that reconciles everything: the full year’s bookkeeping closed into a balance sheet and income statement, monthly tax prepayments reconciled against final liability, and a formal filing with the Albanian authorities.

Albania For Business Sh.p.k. prepares and files annual reports whether or not we handle your monthly bookkeeping – for clients on our monthly accounting service, the annual report builds directly on records already reconciled; for everyone else, we start by reviewing your existing records before preparing the filing.

What the Annual Report Actually Covers

  • Financial statements – a balance sheet, income statement and explanatory notes covering the full fiscal year.
  • Annual corporate tax return – reconciling the year’s actual tax liability against monthly or quarterly prepayments already made.
  • Confirmation of any balance due to, or refund owed from, the tax authority once the year is reconciled.
  • Filing with the relevant Albanian authorities within the statutory deadline.
  • For companies subject to statutory audit, coordination with an independent auditor – see below.

Do You Need an Audit?

Most small and medium-sized Sh.p.k. companies are not subject to statutory audit and file unaudited financial statements. Audit requirements generally apply above certain thresholds – typically based on turnover, balance sheet total, and employee count – and to specific company types, such as Sh.a. companies and regulated entities (banks, insurers, and similar). Whether your company crosses these thresholds should be checked each year, since growth can trigger an audit requirement you didn’t have the year before.

Company Profile Typical Audit Position
Small Sh.p.k. below the size thresholds Unaudited financial statements – our standard service
Sh.p.k. above the size thresholds Statutory audit generally required – we coordinate with an independent auditor
Sh.a. (joint stock company) Statutory audit generally required, regardless of size
Regulated entities (banks, insurers, etc.) Sector-specific audit and reporting requirements apply

Annual Reporting, Step by Step

  1. Year-end data collection & reconciliation – gathering and reconciling the full year’s bookkeeping records.
  2. Draft financial statements prepared – balance sheet, income statement and notes.
  3. Tax return calculated – final liability reconciled against prepayments, with a draft shared for your review.
  4. Client review & sign-off – you review the draft statements and return before anything is filed.
  5. Filing & record retention – the annual report is filed with the authorities, and you receive confirmation plus guidance on retaining statutory records.

⚠ Practical note

“The company didn’t do anything this year” is not a reason the annual filing gets skipped – a dormant or zero-activity company still owes a filing, and the penalty for missing it doesn’t scale down just because there was nothing to report. If your company has been quiet, it’s worth confirming the filing still happened rather than assuming it wasn’t needed.

Frequently Asked Questions

Yes. A dormant or zero-activity company still files annual financial statements and a tax return confirming there was nothing to report. Skipping this because there’s “nothing to file” is one of the more common and avoidable compliance gaps we see.

For a calendar-year taxpayer, the annual corporate income tax return is generally due by 31 March of the following year. Annual financial statements required to be deposited with the QKB must generally be submitted within seven months after the financial year-end and no later than 31 July.

No. Most small and medium-sized Sh.p.k. companies file unaudited statements. Audit requirements generally apply above certain size thresholds and to specific structures like Sh.a. companies – see the table above, and we check your position each year since growth can change this.

Yes. We review your existing records during onboarding and prepare the annual filing from there. If records are incomplete, we’ll tell you what’s missing before proceeding, rather than filing on an uncertain basis.

Late filing generally attracts a penalty, and the exact amount depends on how late and the company’s specific situation. Beyond the direct penalty, a late or missing annual filing can also complicate bank relationships, licensing, or a due diligence process if you’re raising investment or selling the company.

Financial statements filed with the Trade Register are generally accessible as part of the public company record, which is standard practice in most jurisdictions with a company register. This is separate from the corporate tax return itself, which is filed with the tax authority and not publicly accessible.

The statutory filing is prepared and submitted in Albanian, as required by law. We also provide an English-language summary of your financial position, so you understand the numbers without needing to read the original filing.

The annual report (financial statements) presents your company’s financial position for the year – assets, liabilities, income and expenses. The annual tax return calculates your final tax liability based on that position, reconciled against tax already prepaid during the year. Both are prepared as part of this service, but they are filed through the relevant procedures and may have different statutory deadlines.
